On February 4, 2021, Sio Gene Therapies Inc. (the “Registrant”) issued a press release announcing that it has received $11.6 million from the closing of the sale of Arvelle Therapeutics to Angelini Pharma (the "Transaction").

Item 8.01 Other Events.
On February 4, 2021, the Registrant issued a press release announcing that it has received $11.6 million from the closing of the Transaction. Per the terms of the Transaction, additional payments to the Registrant are expected over time, including a payment of approximately $4.8 million by mid-2021 upon marketing approval of cenobamate by the European Medicines Agency (EMA), totaling over $16.4 million in aggregate net proceeds this calendar year.
